GENERAL INTRODUCTION

The following Legislation/Terms and Conditions govern the Umbrella Corporation. The Legislation/Terms and Conditions is formed and edited by the Umbrella governing party, the Umbrella Board of Directors, with supreme edition awarded to the Chairman of the Board. However, the Legislation/Terms and Conditions are formed and written to fit the best interest of the Umbrella Corporation personnel and company as a whole.

CHAPTER 1 - THE WORKERS AND THEIR RIGHTS (PART ONE):

Subsection 1 - The Umbrella Corporation is based on workers’ rights, as the saying we have is: “Without workers, there is nothing.” Therefore the rights of the workers are the superior interest of the Board of Directors.

Subsection 2 - The workers have the right to freely express their opinions and speech as they see fit, as long as it does not, but is not limited to:
1. Break official Urban Dead rules.
2. Conflict with anything in the Legislation/Terms and Conditions.
3. Offend anyone else in a public listening space.

Subsection 3 - If someone is found to be doing something against the Legislation/Terms and Conditions or Umbrella Corporation Code of Conduct, they will have action taken against them, which
1. Have a court proceeding taken against them.
2. Receive a fair demotion in relation to the offense.
3. Be fired in a situation fair for this.
4. Be put on probation.
5. Removal of special privileges - e.g., posting rights, command status, etc.
6. Be reported to a senior officer.

Subsection 4 - All workers are to be treated fairly and equally and not discriminated against (refer to Chapter One, Subsection Seven).

Subsection 5 - It is within any worker’s power to leave the Umbrella Corporation at any time, for any reason, as well as request a RETIREE DISCHARGE (after confirmation by the Chairman of the Board). The Umbrella Corporation personnel may rejoin at any time and will not be discriminated against for leaving. If the personnel decides to come back and be employed by the Umbrella Corporation, and does not wish to start from the initial rank (Recruit) then some conditions may apply.
*If a retirement package is worked out with the Chairman of the Board, upon return the retiree will often receive the same, or as close as possible to the rank when they retired.

Subsection 6 - Anyone has the right to work for the Umbrella Corporation, and no one can be rejected from enlisting, unless they fall into one of these categories:
1. They have obvious malicious intent against the Umbrella Corporation. (This must be provable or with reference.)
2. They have been fired from a group that has been owned by the current CEO.
3. They have been fired from an allied organization or well respected organization (for a legitimate reason).
4. They could be a danger or security risk to the Umbrella Corporation or their workers. (This must be provable or with reference.)
5. And other things similar to this description.

Subsection 7 - No worker can be discriminated against, rejected or excluded from activities, operations, etc., within the Umbrella Corporation because of:
1. Race.
2. Personal interests or hobbies (as long as they are not offensive to other members).
3. Sexuality (Gay, Lesbian, Bisexual, etc.)
4. Appearance (real life or UrbanDead appearance), ALTHOUGH they must submit to a certain standard of business dress. This excludes the issue of cross dressing. You must wear the uniform/clothes appropriate to your REAL LIFE GENDER, otherwise it is deceiving.
5. And other things similar to this description.

Subsection 8 – Forced Removals are issued in the last of circumstances in the Umbrella Corporation, the circumstances in which a Forced Removal may occur are, but are not limited to:
1. Double jobbing.
2. Self-promoting.
3. Treason/giving out classified information.
4. And other things relating to similar pretense.
A personnel within the Umbrella Corporation is entitled to rejoin after a Forced Removal if a senior rank to the discharger approves this but they must join as a recruit (no multiple rank promotions or restoration of ranks will be awarded). Although if another Forced Removal is issued to this same person, the second time it becomes permanent.

Subsection 9 - In relation to the subsections in the above chapter, there are conditions which apply to Umbrella Corporation personnel who leave to create their own new group. Umbrella Corporation personnel are free to leave at any time and we do endorse the creation of new groups. HOWEVER, if this new group may be considered a security risk to Umbrella Corporation, they may be automatically declared an enemy. These security risks include such things as, but are not limited to:
1. The personnel who is making the new group colludes with others while still employed in the Umbrella Corporation to do so.
2. The personnel who is making the new group uses their influence in the Umbrella Corporation to influence people to move to their new group (personnel stealing).
3. The personnel who is making the new group allies with an enemy or organization the Umbrella Corporation is at war with.

CHAPTER 2 - THE WORKERS AND THEIR RIGHTS (Part Two):

Subsection 1 - The jurisdiction of your co-workers at any rank higher than you allows them to give you orders, as long as it is within their power to do so, but it must not break the Legislation/Terms and Conditions or the Umbrella Corporation Code of Conduct.

Subsection 2 - If you find that someone is doing something outside of their jurisdiction, then it is within your rights to deny the proposal or order, but in doing so, if the order was valid, you may be subject to discipline as in Chapter One, Subsection Three.

Subsection 3 - Officers and senior ranks are the role models of all Umbrella Corporation personnel and therefore should take an authority and mature role to their job and duties assigned.

Subsection 4 - If any Officer or senior rank is doing something out of their jurisdiction, this is a serious offense and may be subject to those terms in Chapter One, Subsection Three.

Subsection 5 - If your co-workers are doing something against the Legislation/Terms and Conditions or the Umbrella Corporation Code of Conduct or out of their jurisdiction, then it is to be brought to the attention of a Commissioned Officer, or a member of the Board of Directors.

Subsection 6 - If an Officer or senior rank is being abusive then it should be brought to the attention of the governing party, the Umbrella Corporation Board of Directors. Anything that affects the Umbrella Corporation as a whole should also be brought to the attention of the governing party.

Subsection 7 - If the governing party, the Umbrella Corporation Board of Directors, is being abusive in any terms, or ruling in an obvious biased manner, then it should be brought to the direct attention of the Chairman of the Board.

CHAPTER 3 - JURISDICTION AND RESPONSIBILITIES:


Subsection 1 - The responsibility of all workers falls within the jurisdiction of the Officers and the Umbrella Corporation Board of Directors.

Subsection 2 - Workers and others must be treated with equality, despite any ranking or position held in the Umbrella Corporation; thus Umbrella Corporation officers and the Umbrella Board of Directors must make sure all workers are being treated equally and fairly.

Subsection 3 - All websites and webpages holding in good faith, the name of the Umbrella Corporation, are property of the Umbrella Corporation entity, unless otherwise notifed in a letter of intent of a seperation of control.

Subsection 4 - All in game property, territory, and accounts (created for umbrella use) are property of the Umbrella Corporation entity as an whole and their resources available to any employee within valid reason.

Subsection 5 - The governing party, the Umbrella Board of Directors, has the role of making all major changes to the Umbrella Corporation, which include, but are not limited to:
1. The hiring of Umbrella Corporation personnel.
2. The dismissal of Umbrella Corporation personnel.
3. The moderation of Umbrella Corporation Buildings or applicable rooms.
4. The administration/moderation of the official Umbrella Corporation forum and/or website, radio, etc.
5. The initiation of new ranks, rates, specialties, factions or positions within the Umbrella Corporation.
6. The Umbrella Board of Directors also has supreme power in the declaring and determination of alliances and/or enemies.

CHAPTER 4 (1) - RESPONSIBILITIES OF THE UMBRELLA BOARD OF DIRECTORS:

Subsection 1 - The line of succession is the line in which the position of the Chairman of the Board is awarded. This comes into play when the Chairman of the Board retires or goes on leave. The order of succession is as follows:
1. Chairman of the Board
2. Director of Internal Operations (In times of peace*)
3. Director of Field Operations (In times of war**)
4. Director of Public Relations
5. Most senior rank below the applicable Director.
*Peace refers to times in which normal operations within Malton are being conducted.
**War refers to any situation in which UC is directly involved in tensed relationships with other human/zombie groups or major events.

CHAPTER 4 (2) - RANKS ROLES:


Subsection 1 – Chairman of the Board:
When the position of Chairman/CEO is vacated by the incumbent (either by a 100% agreement of the BoD [ie, he is fired], or by resignation/disappearance), the Director of Internal Affairs shall be promoted to his position, barring times of extreme crisis or war, in which case the Director of Field Operations (previously Director of Warfare) will inherit said position, to be resigned to the DOIA upon cessation of the crisis.

In the unlikely event it ever arises, the Chairman/CEO can be forced to resign by the Board of Directors via a 100% agreement vote. If this vote is reached, the incumbent MUST resign the office, or else be forced to leave and be labeled a traitor to the Corporation. He may thus be divested of his power by any means necessary, up to and including an account hack via the Administration Area.

This position holds supreme power and is Commander-in-Chief of the Umbrella Corporation. The Chairman of the Board is in overall charge of administration and legislative powers within or in relation to the Umbrella Corporation. These powers include; but are not limited to:
1. Legislation Decisions.
2. Administrative Decisions.
3. Executive Decisions.
4. Staff Decisions.
5. Legal Decisions.
6. Procedures, Policies and Protocol decisions. (E.g. Uniform, promotions, medals etc)
7. Monitoring and controlling of the Office of the Chairman of the Board.
8. Forum administration.
9. Indirectly monitoring and controlling the Platoons (Alpha, Omega, Victor, and Whiskey).
10. Indirectly monitoring and controlling the MONITOR Organization.
11. Indirectly monitoring and controlling the Umbrella Biohazard Countermeasure Service.
12. Indirectly monitoring and controlling the Office of Field Operations
- Including the Office of Training & Education.
- Including the Office of Training & Education (Combat Platoons).
13. Indirectly monitoring and controlling the Office of Public Relations
- Including the Office of Mass Communications.
- Including the Diplomatic Corps
14. Indirectly monitoring and controlling the Bio Organic Weapons Program.
15. Indirectly monitoring and controlling the Umbrella Security Service.

Subsection 2 - Director of Internal Operations:
The Director of Internal Affairs is the official Second in Command of the Umbrella Corporation. He is responsible for oversight of the members, forum maintenance, and the upkeep of accounts (such as locking and archiving old accounts, archiving old/necrotic threads, etc.). He is responsible for keeping track of the achievements and accomplishments of various members and recommending promotions and placement within the organizational hierarchy. It is important to remember that the Umbrella Corporation is a MERITOCRACY – that is, those of the most merit (talent, ability, skill) shall be promoted to leadership roles. The Director of Internal Affairs is responsible for the upkeep of this ideal by recommending promising members for promotion, and assigning those of appropriate skill to appropriate positions and departments.

When the position of Director of Internal Affairs becomes vacant, it shall be filled by the incumbent Director of Public Relations, as the skill sets required by these two positions overlap considerably. If that director does not wish to be promoted, in keeping with the spirit of Meritocracy, the DOPR and the Director of Field Operations (DOFO) may choose from among the membership, by unanimous agreement, a new DOIA.

If necessary, the DOIA can be expelled/replaced by either a unanimous decision by the DOPR and DOFO, or by executive order of the Chairman/CEO.

This position is in charge of all matters relating the administrative procedures of the Umbrella Corporation. This position deals with, but is not limited to:
1. Ensuring equality and justice is achieved in the work place.
2. Making sure staff are happy with their working conditions.
3. Evaluating the specifics of staff (e.g. served time, rank, qualifications), in relation to their current rank/position.
4. Monitoring and controlling the Discharged Personnel.
5. Monitoring and controlling forum administration.
6. Monitoring and controlling transfers.
7. Monitoring and controlling the rehiring of previous Umbrella Corp. staff.
8. Ensuring that staff are trained in a variety of areas and courses.
9. Monitoring and controlling the Office of Internal Operations.
10. Legal Decisions.
11. And other things similar to this description.


Subsection 3 - Director of Public Affairs:
The Director of Public Relations is responsible for communicating with allied groups, for spreading recruitment messages and tags, and for organizing and executing RECRUITMENT DRIVES. In other words: he is responsible for the influx of new members into the Corporation. When not actively engaged in military action, the DOPR can assume command of Umbrella’s Combat Platoons, using them to spread Umbrella propaganda and recruitment information.

When the position of Director of Public Relations becomes vacant, it shall be filled by the incumbent Commander of Mass Communication, as he is the direct subordinate of the former. If that commander does not wish to be promoted, in keeping with the spirit of Meritocracy, the DOIA and the DOFO may choose from among the membership, by unanimous agreement, a new DOPR.

If necessary, the DOPR can be expelled/replaced by either a unanimous decision by the DOIA and DOFO, or by executive order of the Chairman/CEO.

This person is in charge of Foreign Affairs. This position deals with all foreign events, which include but are not limited to:
1. The alliance of new organizations.
2. The determination of enemy/threatening organizations (in close association with the Director of Warfare Operations).
3. Assigning and linking key allies to our Foreign Embassy.
4. Monitoring and controlling the Public Affairs Office.
5. Assessing suitability for other organizations to be allies.
6. Regular visiting of allies and other UrbanDead organizations for both strategical and promotional purposes.

Subsection 3.1 – Director of Mass Communications: Under the Director of Public Relations is the Mass Communication Division, a specialist unit of volunteers tasked with continually spreading the Good Word about Umbrella to the masses. This unit may either be made up of members of the Combat Platoons who wish to pull double duty, or by dedicated members.

If numbers permit, a Commander of Mass Communication can be appointed by the DOPR, and is a Senior Staff position. This Commander will take personal responsibility for Mass Communications; if this position cannot be filled without weakened the Department of Field Operations, then this DOPR himself will ASSUME THE ROLE until such time as he can secure adequate membership.

This person is in charge of all recruitment aspects of the Umbrella Corporation. They act as the head of the propaganda unit and reports directly to the Director of Public Relations. The Director of Mass Communications deals with, but is not limited to:
1. Developing new strategies of recruitment.
2. Ensuring the recruitment procedures, policies and protocol are followed.
3. Filtering and finding new potential Umbrella Corporation personnel.
4. Monitoring and controlling the Office of Mass Communications
5. Determining Umbrella Corporation radio frequency and placement of radio transmitters.
6. Creating public awareness of the Umbrella Corporation.
7. Creating various types of advertising and media for the Umbrella Corporation.

Subsection 5 - Director of Field Operations:
The previous Department of Warfare Operations, Department of Training & Educations, and Combat Platoons will by this bill be reorganized into a single, cohesive DEPARTMENT OF FIELD OPERATIONS. The leader, naturally, will be the Director of Field Operations.

It is the duty of the DOFO to lead and coordinate all operations militant carried out by the Umbrella Corporation and to ensure their success. To this end, he has overall jurisdiction over the Combat Platoons and Whiskey Platoon, Umbrella’s training outfit. The DOFO is responsible for keeping the Corporation’s members both in peak condition AND involved in operations as much as possible (trading off with the DOPR when necessary).

When the position of Director of Field Operations becomes vacant, it shall be filled by the incumbent Commander of Whiskey Platoon, as he is the direct subordinate of the former and most familiar with Operational Command. If that commander does not wish to be promoted, in keeping with the spirit of Meritocracy, the DOIA and the DOPR may choose from among the membership, by unanimous agreement, a new DOFO.

If necessary, the DOFO can be expelled/replaced by either a unanimous decision by the DOIA and DOPR, or by executive order of the Chairman/CEO.

This person is in charge of all matters relating to warfare, external raiding, the readiness and manpower of the Umbrella Corporation and assault strategies. The Director of Field Operations is also in charge of, but not limited to:
1. The declaring of war upon enemy organizations.
2. The declaring of enemies.
3. The training and assessment of all Umbrella Corporation personnel in warfare, both defensive and offensive. (In conjunction with the Director of Internal Operations)
4. Monitoring and controlling the Umbrella Biohazard Countermeasure Service
4. Monitoring and controlling the Umbrella Special Forces
5. Assessing suitability for other organizations to be allies.
6. Ensuring the safety and security of Umbrella personnel, from external forces.
7. Ensuring security policies are enforced (such as personnel background checks)
8. And other things similar to this description.

Subsection 5.1 – Director of Training & Education:
Within the Department of Field Operations is the Training & Education Division, responsible for taking in ALL new members, and instructing them on Corporation field doctrine, group tactics, and customs. It is headed by the Commander of Training & Education, whose responsibility it is to form an EDUCATIONAL CIRRICULUM for the instruction of new members, regardless of level/experience – preferably in the form of an easy-to-read pamphlet instructing them in chain of command, introducing high-ranking officers, and basic principles of the group.

The Commander of Training & Education also possesses the power to promote members OUT of his own unit (Whiskey Platoon) and into the Combat Platoons. These promotions may be overridden by the DOIA at his discretion; otherwise, the Commander of Training & Education is responsible for deciding when a recruit is fit the join a Combat Platoon.

The DOFO has authority over the Commander of Training & Education and, as such, may appoint one at his discretion, or remove an unsuccessful one. This is a Senior Staff position

This person is the head of the Umbrella Corporation Training Squad and is the personal adviser to the Chairman of the Board on all matters and events in relation to the training and education of Umbrella Corporation employees. The Director of Training & Education is assigned by the presiding Chairman of the Board. The Director of Training & Education deals with but is not limited to:
1. The training, assessment and grading of Umbrella Corporation Employees.
2. The handling of Employee relationships and associations (e.g. workers’ rights)
3. Handling personnel disturbances between employee ranks.
4. Monitoring and controlling the Office of Training & Education
5. Serving a generally pre-set term of around 2 months.

-Subsection 5.2 Combat Platoons
The backbone of Umbrella’s forces are organized into the Combat Platoons. These units should be capable of autonomy, despite the DOFO’s ability to control them. Each Combat Platoon will be organized as follows:
-Commander of (X) Platoon – this is a Senior Staff position, to be appointed by the DOFO
-Executive Officer of (X) Platoon – an Employee position, appointed by the Cmdr.Platoon.
-Between 2-8 Field Operatives – each an Employee position, taken from Whiskey Platoon’s ranks at the Cmdr.T/E’s discretion.

Cmdr.Platoons are to be appointed either by the DOFO, or by succession of the XO/Platoon. Either position can be vacated by the DOFO or by the DOIA due to performance or disciplinary issues.

CHAPTER 5 - LEGAL ASPECTS:

Subsection 1 - All legal matters are headed by the Chairman of the Board and his ruling is final in the matter of the legal area.

Subsection 2 - If an offense is caused to disrespect or disregard the Legislation/Terms and Conditions or Code of Conduct, then it is a verified rule for a court hearing.

Subsection 3 - All court hearings, trials, and cases will be heard by the Umbrella Board of Directors with a specified member of the Board presiding as Judge.

Subsection 4 - Once a case is over, if the personnel feels it has been misjudged or there has been a biased ruling the personnel may apply for a re-trial by a new judge, or higher level judge. (The personnel will be assigned one, not the personnel’s pick.) The second ruling will be final.

Subsection 5 - To be allowed to make a case and get it tried, first the personnel has to have obvious evidence or referrals about the allegations that are made. If the Director of Internal Operations sees there to be no initial case because there is no evidence, they may decline it. However, if this seems to be a bias or unfair ruling, the personnel may appeal to the Chairman of the Board.

Subsection 6 - Foreign personnel (people not employed by the Umbrella Corporation) may also apply for a court case, on verified grounds. This includes ex-Umbrella Corporation personnel who wish to appeal against their discharge (although the discharge must be in the past month).

Subsection 7 - Grounds for a case are, but are not limited to:
1. Unfair discharge
2. Unfair demotion
3. Discrimination
4. Unequal and/or unfair working environment and/or unfair treatment
5. Incompetent other worker (e.g., the personnel doesn’t think the person should hold their rank because of ______)

CHAPTER 6 - DISCIPLINE:


Subsection 1 - All Umbrella Corporation personnel, as they are equal, are subject to the same punishment (although this disregards position because senior ranked personnel will be expected to act with more regard, intention and maturity than others).

Subsection 2 - If an unreasonable act is done and it can be verified then, regardless of rank and/or position, the offender will be punished accordingly.

Subsection 3 - Discrimination against race, heritage, looks or wealth will not be tolerated under ANY circumstance, and this should be held at a court hearing.

CHAPTER 7 - FOREIGN POLICY:


Subsection 1 - All foreign personnel (allied only) are to be treated with the utmost due respect, such as an Umbrella Corporation personnel of the same rank, would receive.

Subsection 2 - Foreign personnel are not permitted within the secure section of the Umbrella Corporation forum unless accompanied by an Umbrella Corporation Administrator.

Subsection 3 - Foreign personnel (allied only) are only to be let into the members section of the Umbrella Corporation Forum if they are representing their organization.

Subsection 4 - Although foreign personnel (allied only) are to be treated with the same respect as Umbrella Corporation personnel, foreign personnel may not give orders to Umbrella Corporation personnel.

CHAPTER 8 - REVENUE:

Subsection 1 - If any draws, lotto’s, raffles, or other fund raising events are organized where it is a pay-to-enter or donation event, all revenue raised goes toward the Umbrella Corporation for things such as:
1. Adding new features to the Umbrella Corporation Forum.
2. Purchasing Game Ads for recruitment
3. Forum Radio Station

Subsection 2 - Any donations that are given to the Umbrella Corporation (including those done by PayPal) go into the Umbrella Corporation and the Umbrella Corporation only.

CHAPTER 9 - ALTERNATE ACCOUNTS:


Subsection 1 - Alternate accounts are permitted within the Umbrella Corporation, although you are limited to three as long as they adhere to the following subsections listed below (although they are NOT recommended to be used).

Subsection 2 - Alternate accounts cannot be used to work in the Umbrella Corporation. The only exceptions to this are accounts which have been authorized for regular use by the Chairman of the Board or a Board member who is testing the other personnel (although a rank cannot be given to this alternate testing account).

Subsection 3 - Only ONE of your accounts is permitted in the Umbrella Corporation premises at any one time. (This excludes the Board of Directors.)

Subsection 4 - It is highly recommended to use alternate accounts that are not used in the Umbrella Corporation for any special operations, etc.

Subsection 5 - Alternate accounts, if previously arranged with a Staff member (preferably a Umbrella Board of Directors representative), may be used if your main account has something wrong with it or is disabled (e.g., banned).

Subsection 6 - Random people make alternate accounts and thus pose as Umbrella members. The “no alternate account” rule stops the posing of Umbrella members. Any alternate account saying it is someone or holds their rank is to be regarded as INVALID. Anyone found using a clone that disregards Chapter Ten will receive a one-rank demotion per offense to Chapter Ten.

Subsection 7 - The changing of accounts within the Umbrella Corporation is NOT recommended and may be denied. However, if for some reason an Umbrella Corporation personnel needs to change their name, they must speak to a member of the Board of Directors.

CHAPTER 10 - OFFICES/CORPS/DIVISIONS:


Subsection 1 - Office of Public Relations.
The Office of Public Affairs and Public Affairs Specialists are in charge of:
1. Handling allies and enemies.
2. Issuing statements to the public, and other militaries.
3. Providing assistance to allies, and allied personnel.
4. Keeping a close relationship with allies, and allied personnel.
5. Handling public complaints, and redirecting them to the Office of Internal Operations.

Subsection 2 – Office of the Umbrella Special Forces.
The Office of the Umbrella Special Forces and Combat Specialists are in charge of:
1. Ensuring the safety and security of the Umbrella Corporation property.
2. Ensuring security and safety policies, procedures and protocols are followed at all times.
3. Restricted and high-security level matters.
4. Executing high priority operations.

Subsection 3 - Office of Internal Operations.
The Office of Internal Operations, Personnel Specialists and Information Technicians are in charge of:
1. Ensuring personnel are happy in the workplace.
2. Handling staff issues on both legal and non-legal levels.
3. Handling transfers and rehiring of personnel.
4. Construction of the Archives and suggesting improvements and technology for the forum (Information Technicians only).

Subsection 4 – Office of Training & Education
The Office of Training & Education and Drill Instructors are in charge of:
1. Assisting in general Umbrella Corporation duties.
2. Training Umbrella Corporation personnel.
3. Monitoring, controlling and moderation Umbrella Corporation HQs.
4. Taking training and other courses.
5. Ensuring all Umbrella Corporation personnel are trained in there determined MOS.
6. Ensuring all Umbrella Corporation personnel are aware of the education opportunities

Subsection 5 – Office of Mass Communications.
The Office of Mass Communications and Recruitment Specialists are in charge of:
1. Developing new strategies of recruitment.
2. Ensuring the recruitment procedures, policies and protocol are followed.
3. Filtering and finding new potential Umbrella Corporation personnel.
4. Creating public awareness of the Umbrella Corporation.
5. Creating various types of advertising and media for the Umbrella Corporation.

Subsection 6 – Umbrella Board of Directors
The Umbrella Board of Directors and Chairpersons are in charge of:
1. Ensuring the Umbrella Corporation and personnel comply with the legalities of the Umbrella Corporation Legislation/Terms and Conditions.
2. Handling both the representation and decision-making/judge of Umbrella Corporation personnel in the matter of legal issues.
3. Handling both the representation and decision-making of the Umbrella Corporation entity.
4. The administration/moderation of the official Umbrella Corporation forum and/or website, radio, etc.
5. The overall command of all Umbrella Corporation Offices, Divisions, Groups, Territories, Property, and Personnel.

CHAPTER 11 – REMOVAL OF OFFICIALS


Subsection 1 – In the Umbrella Corporation the Umbrella Board of Directors are the direct representatives of the Corporation. If they are doing anything that would cause disrespect or are tarnish the name of Umbrella, the members of the Umbrella Corporation have the right to remove that Director.

Subsection 2 – In the event that the Chief Executive Officer of the Umbrella Corporation must be removed the accusers must present evidence to the Employee body of the CEO’s wrong doing.

Subsection 3 – The Chief Executive Officer may only be removed from office on capital charges, these include:
1. Causing malicious harm to the company itself (sabotaging platoons, allowing leaked information)
2. Plotting to disassemble the company for personal profit or gain.
3. Knowingly allowing the company to be attacked from internal or external forces.
4. Any act that would/will bring dishonor to the title of Chief Executive Officer
5. Knowingly engaging the Corporation in non-survivor activities that will not benefit Umbrella as a survivor oriented group.
6. Inability to lead as Chairman of the Board, Chief Executive Officer of the Umbrella Corporation due to personal problems.
7. Complete and total incompetence as a leader

Subsection 4 - If probable evidence for any of these charges can be gathered they shall be presented to the Umbrella Body as an whole and the body will choose 1 member to act as a trial judge and 5 members to act as the jury.

Subsection 5 – If the Chief Executive Officer is found guilty of any of these charges, it is the Board of Directors to obtain all administrative status, passwords, and information from the Chief Executive Officer, and to then relive him of all command.

Subsection 6 – If the Chief Executive Officer does not willingly release all command to the Board of Directors, The Corporation as a whole has the right to do anything in their power to remove all rights from the Chief Executive Officer including, but not limited to:
1. Hacking his/her account to change their password (FORUM ONLY)
2. Breaking off from the active Umbrella Corporation and recreating a separate body of the Corporation with this legislation at its heart.
3. Creating a completely new forum.
*With the ratification of this legislation any claims by the party refusing to give up the position of CEO and those loyal to him/her after being found guilty are in violation of the terms of this legislation and are null and void.

Subsection 7 - Removal From Office due to Extended Absence

If any member of Green or Red security clearance is absent without notification for more than one month (30 days), that Board member may, at the option of the remainder of the Board, be temporarily replaced by the next-highest member of the BoD, as denoted by the Chain of Command (2012). Should that member remain absent for more than 2 months (60 days), the Board of Directors may vote said member out of office as per normal disciplinary removal. If a removed Board member returns to the group at a later date, he may petition to have his clearance reinstated (2/3 vote by the Board, confirmed by the CEO); if this movement passes, the replacement is returned to his original rank (and so on down the line, ie, mass demotion); if rejected, the replaced BoD member is issued BLUE CLEARANCE and may remain as a Senior Staff member within his original department until such time as he is deemed fit for promotion or his original Directorship is vacated, as per normal advancement procedures.

If any member of Blue Clearance is absent for more than THREE MONTHS (90 days), that member will automatically be removed from any office currently held, and replaced per normal succession protocol. Should that member return at a later date, he is to be assigned to the department in which he originally served, acting in a normal member capacity until such time as normal promotion is viable for him.

Extended absence does not result in Security Clearance degradation for members of Blue Clearance or below.

-Subsection 7.1: Locking Accounts and Archival

If any account is completely inactive for more than SIX MONTHS (180 days), that account, regardless of original standing or clearance, is to be Locked and Archived by either to DOIA or any member of the Board of Directors who opts to take that initiative. Locked accounts are, as the name implies, locked and unable to be used.

Any such member who suffers an Account Lock may petition in the Umbrella Corporation Lobby via the Reinstatement Forum therein. The DOIA is responsible for the review of such cases and, at his discretion, reactivation of such accounts.


CHAPTER 12 - WARFARE OPERATIONS:

Subsection One - This is in relation to the authorization permission for warfare operations. There are two people who have unlimited power to authorize operations. These people are: the Chairman of the Board and the Director of Field Operations. The only other person authorized to give the orders to raid another organization is the Director of Internal Operations. However, the Director of Internal Operations can only authorize a operation if the following three conditions are met:
1. The CEO and DFO are not currently online.
2. The CEO and DFO are not able to be contacted at the current moment.
3. The CEO and DFO are not known to be coming online in a close vicinity of time.
